1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Trialio platform, website, and services ("Platform") provided by Medisynth Pty Ltd (ABN 77 690 276 085) ("Medisynth", "we", "us"). By accessing or using the Platform, you agree to be bound by these Terms.

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Trialio is a Clinical Trial Pre-Screening Platform that provides AI-assisted participant pre-screening, eligibility scoring, report generation, and coordinator workflow management. The Platform includes Synthia, an AI voice assistant that conducts structured pre-screening calls with potential clinical trial participants.

The Platform is intended for use by qualified healthcare professionals, clinical trial coordinators, investigators, sponsors, and contract research organisations. You must:

You are solely responsible for ensuring that all clinical trial participants have provided valid, informed consent before any Synthia screening call is initiated. Trialio provides tools to support this process but cannot verify consent on your behalf. You must ensure consent processes comply with the National Statement on Ethical Conduct in Human Research and all applicable ethics committee requirements.

5. Clinical Responsibility

Trialio is a decision-support tool and does not replace clinical judgment. The Eligibility Scoring System (ESS) and Synthia's outputs are provided to assist coordinators and investigators in making eligibility decisions. All final decisions regarding participant enrolment remain the responsibility of qualified clinical staff. Medisynth accepts no liability for clinical outcomes arising from eligibility decisions made using the Platform.

All intellectual property in the Trialio Platform, including the Synthia AI system, Eligibility Scoring System, software, user interface, and documentation, is owned by or licensed to Medisynth Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for the purposes described in these Terms.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any personal or health information you input into the Platform is handled in accordance with applicable privacy law.

9. Limitation of Liability

To the maximum extent permitted by law, Medisynth's total liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the amount paid by you for the Platform in the 12 months preceding the claim. Medisynth is not liable for indirect, incidental, consequential, or punitive damages.

10. Warranties Disclaimer

The Platform is provided "as is" and "as available". Medisynth makes no warranties, express or implied, regarding the Platform's accuracy, completeness, reliability, or fitness for a particular purpose. Synthia's outputs are AI-generated and may contain errors.

11. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for breach of these Terms or for any conduct we consider harmful. You may terminate your account at any time by contacting us at [email protected].

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to Terms

We may update these Terms from time to time. We will provide reasonable notice of material changes. Continued use of the Platform after changes take effect constitutes acceptance.
